HOA Board President, Sheila Josephson, has repeatedly shirked her fiduciary responsibilities. She has acted in an autocratic fashion and has made capricious, arbitrary and faulty decisions. In accordance with PCE Bylaws, Article 4.12, Removal of Director, "Any Director may be removed from office, with or without cause, at a duly held meeting of the Owners by an affirmative vote of a majority of the Owners entitled to vote who are voting on the matter. Pursuant with Arizona Revised Statute 33-1813, the undersigned members representing 25% or more of the Home Owners Association, hereby petition that the Board of Directors set the earliest reasonable date for a special membership meeting to remove the director named below and to elect a replacement director in the event the recall is successful.
Sheila Josephson, PCE's HOA Board President, needs to be removed. As homeowners, we are about to be hit with a $100,000 bill to fix the clubhouse pool area and roof. All of these problems, specifically the high humidity, the leaks and the mold, were known to both her and HOMCO well in advance, yet nothing corrective was done. This is just one example of her poor leadership and bad management.
During her tenure as both President and 1st Vice President, she has not met her fiduciary responsibilities to PCE homeowners. According to law, fiduciary responsibilities include acting in a prudent and reasonable manner, using sound business judgment, and avoiding uninformed or capricious actions. Correspondingly, Ms. Josephson has acted in a dictatorial fashion, has made numerous unilateral decisions, and has browbeaten both owners and HOA board members.
